1. General
These Terms & Conditions are intended to clarify the roles, responsibilities, and expectations between Volt Ventures Franchising Inc., Volt Ventures Food Services Inc. (collectively, the “Company”) and its franchise partners (the “Franchisee”).
All franchise operations are subject to the terms outlined in the Franchise Agreement. In the event of any conflict, the Franchise Agreement shall prevail.
The terms of each Franchise Agreement may vary from one Franchisee to another depending on factors including, but not limited to, location, format, investment structure, and operational requirements.
Prior to entering into a Franchise Agreement, all prospective franchisees are strongly encouraged to seek independent legal advice.
2. Staffing and Employment
All staff working at a franchise location are the responsibility of the Franchisee unless otherwise expressly agreed in writing.
The Company does not control, manage, or assume responsibility for:
- Hiring decisions made by the Franchisee
- Day-to-day supervision of staff at the location
- Payroll processing or wage payments for Franchisee-employed staff
- Compliance with employment standards and labour laws at the location
The Franchisee is solely responsible for ensuring that all employment-related obligations are met in accordance with applicable laws.
3. Chef Support and Central Kitchen Model
The Dosa Eatery system is designed to operate efficiently without reliance on highly specialized chefs.
Key food components, including batter, fillings, and base preparations, are produced by the central kitchen, significantly simplifying in-store operations.
As a result:
- Kitchen operations can be performed by trained staff without advanced culinary experience
- Most menu items can be learned within a short training period
- The Company provides initial training and operational guidance at no additional cost
Any chef or cook provided or recommended by the Company is intended to support operations on a temporary or transitional basis only.
The Franchisee is responsible for building and maintaining a trained team to operate the location independently.
4. Recruitment Support
The Company may assist the Franchisee in identifying potential candidates for staffing, including chefs or cooks, through:
- Screening and interviews
- Operational guidance and recommendations
However:
- The Company does not guarantee the availability of candidates
- The Company does not bear any financial responsibility for recruitment
- Final hiring decisions remain solely with the Franchisee
5. Immigration and LMIA Support
Where applicable, the Company may assist the Franchisee in navigating immigration-related processes, including LMIA and work permit applications.
Such assistance may include:
- Guidance on process requirements
- Coordination with immigration professionals
- Support with documentation preparation
However, the Franchisee acknowledges and agrees that:
- Immigration approvals are subject to government policies, regulations, and discretion
- Processing timelines and outcomes are outside the control of the Company
- The Company does not guarantee approval of any LMIA or work permit application
- The Company is not responsible for any delays, refusals, or changes in immigration policies
All government fees, advertising costs, and related expenses remain the responsibility of the Franchisee unless otherwise agreed in writing.
6. Chef-Related Expenses (If Applicable)
In cases where a chef or cook is provided or arranged through the Company, the Franchisee shall be responsible for all associated living and operational expenses, including but not limited to:
- Accommodation and housing
- Local transportation to and from the workplace
- Travel expenses, including airfare to and from the chef’s home country
- Any other personal or employment-related costs
The Franchisee is responsible for ensuring that appropriate living and working conditions are maintained.
7. Operational Independence
Each franchise location operates as an independently owned and operated business.
The Franchisee is responsible for:
- Day-to-day operations
- Staffing and scheduling
- Customer service
- Compliance with all applicable laws and regulations
The Company provides systems, processes, and support but does not assume responsibility for the operational management of the location.
8. Construction and Setup Costs
All construction, build-out, and setup costs are estimates only and may vary based on:
- Market conditions
- Material costs
- Labour availability
- Site-specific requirements
- Regulatory approvals
The Company does not control or guarantee construction costs, timelines, or contractor performance.
The Franchisee is responsible for all costs associated with construction and setup of the location.
9. Deposits, Fees, and Refunds
Any deposits paid prior to signing a Franchise Agreement shall be adjusted toward the franchise fee payable upon execution of the Franchise Agreement.
Legal and documentation-related costs incurred by the Company in connection with preparing the Franchise Agreement may be included within the franchise fee and are not charged separately to the Franchisee.
In the event that a Franchise Agreement is not executed and a refund is requested, the Company will process such requests within a reasonable timeframe. Due to administrative, financial, and regulatory processes, refunds may take approximately 45 working days to up to six (6) months to be completed.
10. Limitation of Liability
The Company shall not be liable for any losses, damages, delays, or disruptions arising from:
- Staffing challenges or employee-related matters
- Immigration or regulatory changes
- Delays in approvals or permits
- Construction or supply chain issues
- Any factors beyond the Company’s reasonable control
11. Acknowledgement
By entering into the Franchise Agreement and operating a franchise location, the Franchisee acknowledges that:
- The business model is designed to minimize dependency on specialized chefs
- Staffing success depends on proper training and management at the location level
- The Company’s role is to provide support, guidance, and systems—not to manage day-to-day operations
12. Updates
These Terms & Conditions may be updated from time to time to reflect operational, legal, or regulatory changes. Franchisees will be notified of any material updates.
